Terms of Service

These Terms of Service form a binding agreement between you and LIKE A KING INC., a New York corporation, for your use of Tbili. Please read them in full.
Important: arbitration and class action waiver
PLEASE READ THIS NOTICE CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. EXCEPT FOR THE MATTERS DESCRIBED IN SECTION 16, YOU AND TBILI AGREE TO RESOLVE EVERY DISPUTE THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION, AND NOT IN COURT BEFORE A JUDGE OR JURY.
YOU AND TBILI EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, A CLASS ARBITRATION, A CONSOLIDATED ACTION OR A REPRESENTATIVE ACTION. CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY.
YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AFTER YOU FIRST ACCEPT THESE TERMS BY FOLLOWING THE PROCEDURE IN SECTION 16.9. NOTHING IN THIS NOTICE LIMITS ANY RIGHT THAT CANNOT LAWFULLY BE WAIVED.

1Acceptance
By creating an Account, joining the waitlist, starting a trial, initiating a Transfer, downloading or opening the App, or otherwise using the Service, you agree to be bound by this Agreement. If you do not agree, you shall not use the Service.
You accept this Agreement by an affirmative action, such as selecting a checkbox or button that states your agreement. We keep a record of the version of the Agreement presented to you and the time of your acceptance.
You represent that you are at least 18 years of age. Minors may not use the Service.
If you accept this Agreement for a business, you represent and warrant that you have authority to bind that business, and "you" then includes the business. If you lack that authority, you shall not accept this Agreement or use a Business Plan.
Tbili is software. Tbili is not a bank and is not a money transmitter, and it does not hold customer funds. Transfers are provided by the Payment Partner under the Partner Terms. When you initiate a Transfer you will also be asked to accept the Partner Terms, and the Partner Terms govern the movement of your funds.
Some features, countries or plans may not yet be available. A description of a feature on the Service does not oblige us to make it available to you.
2License to use
Subject to this Agreement, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable and revocable license to access and use the Service for your own personal use or, for a Business User, for its internal business use.
THE SERVICE IS LICENSED, NOT SOLD. NO OWNERSHIP OF ANY PART OF THE SERVICE, INCLUDING THE SOFTWARE, DESIGNS AND TRADEMARKS, PASSES TO YOU.
You shall not, and shall not permit anyone to: (a) copy, modify or create derivative works of the Service; (b) reverse engineer, decompile or attempt to extract the source code of the Service, except where the law expressly allows it despite this restriction; (c) rent, lease, resell or provide the Service to a third party as a service bureau; (d) remove any proprietary notice; (e) use automated means such as bots or scrapers to access the Service, other than interfaces we publish for that purpose; or (f) interfere with or circumvent the security, rate limits or access controls of the Service.
We may change, suspend or discontinue any part of the Service at any time, and we will give reasonable notice where a change materially reduces a paid feature.
Any rights not expressly granted in this Agreement are reserved by us.
3Eligibility
To use Personal Transfers you must be an individual who is at least 18 years old, who resides in the United States, and who holds a bank account in the United States in your own name.
To use a Business Plan, the business must be registered in the United States, must hold a bank account in the United States, and the individual accepting this Agreement must have authority to act for the business.
You may not use the Service if you are, or are owned or controlled by, a person on the Specially Designated Nationals and Blocked Persons List (SDN List) maintained by OFAC or any other sanctions list, or if you are located in, ordinarily resident in or organized under the laws of a country or territory that is the target of comprehensive sanctions. You shall not send a Transfer to or for the benefit of any such person or place.
The Payment Partner performs identity verification and screening required by the Bank Secrecy Act and other anti-money laundering and know-your-customer laws. You shall give accurate and complete information when asked. The Payment Partner, and not Tbili, decides whether you or a Transfer is approved, and its decision may be made without prior notice where the law requires.
Personal Transfers are offered from the United States to Georgia, Ukraine, Kyrgyzstan, Kazakhstan, Armenia and other countries listed in the App. Availability may change, and a listed country is not guaranteed to be available at all times.
You may hold one Account for personal use. You shall keep your sign-in credentials confidential and shall notify us through the Contact Form promptly if you suspect unauthorized access. You are responsible for activity under your Account unless the law provides otherwise.
The Service is not directed to children, and we do not knowingly collect information from anyone under 18.
4Pricing and billing
Business Plans are offered at the following prices, in United States dollars, billed monthly: Starter, $29 per month for up to 5 Contractors; Team, $79 per month for up to 25 Contractors; and Business, $199 per month for an unlimited number of Contractors.
A 14-day free trial of a Business Plan is available. If you do not cancel before the trial ends, your selected Business Plan will begin and your payment method will be charged the Subscription Fee for the first paid month, and then monthly until you cancel. We will remind you before your trial converts to a paid subscription.
Subscription Fees are billed in advance, monthly, in USD, by Stripe, Inc. (Stripe) as our payment processor. By starting a trial or subscription you authorize us and Stripe to charge your payment method for the Subscription Fee and for any applicable taxes, on each billing date, until you cancel.
YOUR BUSINESS PLAN RENEWS AUTOMATICALLY EACH MONTH UNTIL YOU CANCEL. YOU MAY CANCEL AT ANY TIME, ONLINE, IN YOUR ACCOUNT SETTINGS. CANCELLATION TAKES EFFECT AT THE END OF THE THEN-CURRENT PAID PERIOD, AND YOU KEEP ACCESS UNTIL THEN.
Cancelling is designed to be as easy as signing up. We will not require a phone call, a message to support or any step that is not available online in your account settings. If you started a subscription online, you can end it online.
The Subscription Fee covers use of the Service software. It does not include the fees and any exchange margin charged for a Transfer, which are shown to you in the Pre-Payment Disclosure before you pay.
For Personal Transfers and Contractor payments, the Pre-Payment Disclosure states the amount, the fee, any exchange margin, the rate, taxes and the amount to be received, before you pay. The exchange rate is the mid-market rate, and any exchange margin and fee are shown to you before you send. The total you pay for a Transfer is the amount shown in the Pre-Payment Disclosure.
Except where the law requires or as stated on the Cancellation and Refunds page, Subscription Fees are non-refundable and we do not give partial refunds for unused time. Refunds for Transfers are governed by the Partner Terms and applicable law, as described in Section 17.
We may change prices. We will give you at least 30 days' notice before a price change takes effect for an existing subscription, by email to your Account address or in the App, and you may cancel before the change takes effect. Continued use after the effective date is acceptance of the new price.
You are responsible for any taxes that apply to your use of the Service, other than taxes on our income. We will add sales or similar taxes to the Subscription Fee where the law requires.
If a payment fails, we or Stripe may retry the charge, and we may suspend your Business Plan features until payment is made. You remain liable for amounts that are due.
If you believe a charge is wrong, contact us through the Contact Form within 60 days after the charge so that we can investigate. Nothing in this Section limits any right you have under the law or against your card issuer or bank.
5Your content
You retain ownership of your Content. We do not claim ownership of it.
You grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit and display your Content solely as needed to provide, secure, support and improve the operation of the Service, to comply with law, and to enforce this Agreement. We will not use your Content to train artificial intelligence models, and we will not sell it.
You represent and warrant that you have all rights necessary to submit your Content and to grant the license in Section 5.2, that your Content is accurate and lawful, and that submitting it does not violate any law or the rights of any person.
We may remove or restrict Content that we reasonably believe violates this Agreement or the law, and we may disclose Content where the law requires or to protect rights, safety or security.
We keep your Content for as long as your Account is active and thereafter as described in the Privacy Notice. Financial and identity records held by the Payment Partner are kept under its own retention duties, which may require retention after you close your Account.
You may export or request deletion of your Content as described in the Privacy Notice and Section 13.
6Recording other people
Tbili does not record calls, audio or video, and the Service does not capture anyone's voice, image or surroundings.
The Service does require you to give us information about other people, namely Recipients and Contractors (for example name, country, bank or account details, and a business or invoice reference). You represent and warrant that you have the right to share that information with us and with the Payment Partner for the purpose of carrying out the Transfer, and that you have given any notice and obtained any consent that the law requires.
You are solely responsible for the accuracy of Recipient and Contractor details, including names, account numbers, bank identifiers and amounts. Transfers are carried out according to the details you provide. We and the Payment Partner are not required to verify that a name matches an account, and a Transfer sent to incorrect details may be delayed, lost or not recoverable.
Before you submit a Recipient's or Contractor's details, you shall review them. You shall not submit details of a person you are not authorized to pay, or details obtained unlawfully.
If a Recipient or Contractor asks us how their information is used, we will respond through the Contact Form as described in the Privacy Notice. We use Recipient and Contractor information only to operate the Service, to meet legal duties and to prevent fraud.
If you are a Business User, you are responsible for your own classification of Contractors, for your tax and reporting duties in respect of them, and for any agreement with them. Tbili does not act as your employer, payroll provider or tax adviser, and does not withhold or report taxes for you.
7Third-party services
The Service depends on third parties, including: (a) the Payment Partner, which verifies identity and carries out Transfers; (b) the Card Issuer, for any card offered in the future; (c) Stripe, which processes Subscription Fees; (d) the banks and payment networks that hold your accounts or that receive funds; (e) our hosting and infrastructure providers; (f) exchange-rate data providers; and (g) the app stores through which the App may be distributed.
Your use of a third-party service is governed by that provider's terms and policies, including the Partner Terms and the Stripe terms. Where those terms conflict with this Agreement regarding the movement of funds, the Partner Terms prevail.
WE DO NOT CONTROL THIRD PARTIES AND ARE NOT RESPONSIBLE FOR THEIR ACTS, OMISSIONS, SYSTEMS, AVAILABILITY, FEES OR DECISIONS, INCLUDING A DECISION BY THE PAYMENT PARTNER OR A BANK TO DELAY, HOLD, REJECT OR REVERSE A TRANSFER, TO THE FULLEST EXTENT THE LAW ALLOWS.
Bank and network fees. Your bank, a receiving bank or an intermediary may charge fees that we do not control and that may reduce the amount a Recipient receives, unless the Pre-Payment Disclosure states otherwise.
Links to third-party sites or services are provided for convenience. We do not endorse them and are not responsible for them.
8Acceptable use
You shall use the Service only for lawful purposes. You shall not use the Service, or permit anyone to use it, to:
- (a) commit, facilitate or conceal fraud, theft, identity theft or any scam, including advance-fee, romance, impersonation, investment or phishing schemes;
- (b) launder money, finance terrorism or evade Sanctions Laws, or send funds to or from a sanctioned person, entity, country or territory;
- (c) structure or split transactions to avoid reporting, verification or monitoring thresholds;
- (d) pay for gambling where it is unlawful, for illegal goods or services, for controlled substances, for weapons trafficking, for human trafficking or exploitation, or for any content or conduct that is unlawful;
- (e) send money for a person who is not you, or send money on behalf of an undisclosed third party, unless the Service expressly permits it and you have disclosed it;
- (f) provide false, misleading or stolen identity or account information, or use an account or payment method that you are not authorized to use;
- (g) interfere with the Service, introduce malware, probe or test the security of the Service without our written permission, or overload it;
- (h) harass, threaten or defraud any person, including a Recipient or Contractor; or
- (i) violate any law or the rights of any person.
We and the Payment Partner may monitor transactions and may, in our discretion or as the law requires, refuse, delay, hold, cancel or reverse a Transfer, request additional information, freeze or close an Account, and withhold funds that are subject to a legal hold, without liability to the fullest extent the law allows.
We and the Payment Partner may report suspected unlawful activity to governmental and law enforcement authorities, including by filing reports that the law requires. Where the law prohibits it, we will not tell you that we have done so.
You shall cooperate promptly with any request for information about the source of your funds, the purpose of a Transfer, or your relationship to a Recipient.
Reporting. If you believe a Transfer or Account has been used for fraud or in violation of this Section, notify us promptly through the Contact Form.
9Our intellectual property
The Service, including the software, text, graphics, layouts, logos, the tbili name and mark, and all related intellectual property, is owned by or licensed to LIKE A KING INC. and is protected by copyright, trademark and other laws.
Nothing in this Agreement grants you any right to use our names, marks or logos without our prior written permission.
If you give us feedback, ideas or suggestions about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without obligation to you.
Copyright complaints. If you believe that material on the Service infringes your copyright, send a notice through the Contact Form, selecting the topic "Copyright/DMCA". Your notice should identify the work, identify the material and where it appears, include a statement of good-faith belief that the use is not authorized, a statement under penalty of perjury that the notice is accurate and that you are authorized to act, and your physical or electronic signature. We may remove material and may terminate the Accounts of repeat infringers where applicable.
Open-source and third-party materials used in the Service are subject to their own licenses, as listed on the Licenses page.
10Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
We do not warrant that the Service will be uninterrupted, timely, secure or error-free, that defects will be corrected, or that the Service will meet your requirements.
NOT A BANK. TBILI IS NOT A BANK. TBILI IS NOT A MONEY TRANSMITTER AND DOES NOT HOLD CUSTOMER FUNDS. FUNDS IN CONNECTION WITH A TRANSFER ARE HELD AND HANDLED BY THE PAYMENT PARTNER AND ITS BANKING PARTNERS, AND NOT BY TBILI. TBILI DOES NOT OFFER DEPOSIT ACCOUNTS, AND NOTHING IN THE SERVICE IS INSURED BY THE FEDERAL DEPOSIT INSURANCE CORPORATION (FDIC) BY REASON OF TBILI, AND NO FDIC INSURANCE IS PROVIDED BY TBILI. ANY PROTECTION THAT APPLIES TO FUNDS HELD BY THE PAYMENT PARTNER OR A BANK IS DETERMINED BY THE PARTNER TERMS AND THE LAW, NOT BY THIS AGREEMENT.
Rates. Exchange rates displayed before a quote are indicative only. They are provided for information and may differ from the rate in your Pre-Payment Disclosure. The rate that applies to a Transfer is the rate stated in the Pre-Payment Disclosure when you pay. Rates move continuously, and we do not guarantee any rate until it is quoted to you for a specific Transfer.
Delivery times. Delivery times are estimates, not guarantees. A Transfer may take longer because of verification, compliance review, bank or network processing, holidays, time zones, incorrect details or events outside our control. Where the Pre-Payment Disclosure states a date of availability, that disclosure and the Partner Terms control.
No advice. The Service does not provide, and nothing in it is, financial, investment, tax, accounting, legal or immigration advice. Information on the Service, including rate displays and cost comparisons, is general. You are responsible for your decisions and for your tax and reporting obligations.
Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you, and in that case our liability is limited to the fullest extent the law permits.
11Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, TBILI, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF TBILI AND ITS AFFILIATES FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE SUBSCRIPTION FEES YOU PAID TO TBILI IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (B) ONE HUNDRED DOLLARS ($100).
We are not liable for the acts or omissions of the Payment Partner, the Card Issuer, Stripe, any bank or any other third party, or for any loss resulting from incorrect details you provided, from your failure to secure your credentials, or from a Transfer that a third party delays, holds, rejects or reverses.
The limitations in this Section apply regardless of the legal theory, whether in contract, tort (including negligence), strict liability or otherwise, and they apply even if a remedy fails of its essential purpose.
Nothing in this Agreement excludes or limits liability that cannot be excluded or limited by law, including liability for fraud, willful misconduct, or any right you have under applicable remittance transfer or consumer protection laws, which are provided by the Payment Partner as described in Section 17. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
The parties acknowledge that the allocation of risk in this Section is a fundamental basis of the bargain and is reflected in the price of the Service.
12Indemnification
YOU SHALL DEFEND, INDEMNIFY AND HOLD HARMLESS TBILI, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, FINES, PENALTIES AND EXPENSES, INCLUDING REASONABLE ATTORNEYS' FEES, ARISING OUT OF OR RELATED TO: (A) YOUR BREACH OF THIS AGREEMENT; (B) YOUR CONTENT, INCLUDING RECIPIENT AND CONTRACTOR DETAILS; (C) YOUR VIOLATION OF ANY LAW, INCLUDING SANCTIONS LAWS AND ANTI-MONEY LAUNDERING LAWS; (D) YOUR VIOLATION OF THE RIGHTS OF A THIRD PARTY; OR (E) YOUR MISUSE OF THE SERVICE.
We will give you prompt notice of a claim for which we seek indemnity, and you shall cooperate reasonably. We may take part in the defense with counsel of our choice at our own expense. You shall not settle a claim in a way that imposes an obligation on us without our written consent.
This Section does not apply to the extent the law prohibits it, and does not require indemnity for our own willful misconduct.
13Termination
You may stop using the Service and close your Account at any time through your account settings or, if that is not possible, through the Contact Form. For a Business Plan, closing your Account does not by itself refund a paid period, and the cancellation terms in Section 4 apply.
We may suspend or terminate your Account or access to the Service, with or without notice where the law allows, if: (a) you breach this Agreement; (b) we or the Payment Partner reasonably suspect fraud, money laundering, sanctions violations or other unlawful activity; (c) we are required to by law or by a governmental request; (d) your payment fails and is not cured; (e) your use creates risk or harm for us, the Payment Partner or others; or (f) we discontinue the Service. Where practicable and lawful, we will tell you the reason.
A Transfer that was accepted before termination will be completed, reversed or refunded under the Partner Terms and applicable law.
After termination, your license in Section 2 ends and you shall stop using the Service. You may request an export of your Content through the Contact Form before or within 30 days after closure, and we will honor genuine requests where we are able. After that period we will delete or de-identify your Content as described in the Privacy Notice, except where we or the Payment Partner must keep it by law, to resolve disputes or to prevent fraud.
Sections that by their nature should survive termination, including Sections 4 (amounts owed), 5, 6.3, 9, 10, 11, 12, 15, 16, 17 and the General provisions, survive termination.
14Mobile app store terms
This Section applies if and when the App is made available through the Apple App Store or Google Play. In that case, you acknowledge that this Agreement is between you and Tbili only, and not with Apple Inc. or Google LLC (each, an App Store Provider).
Scope of license. The license we grant for the App is a limited, non-transferable license to use the App on devices that you own or control, as permitted by the usage rules of the applicable App Store Provider.
Maintenance and support. We, and not the App Store Provider, are responsible for providing maintenance and support for the App. The App Store Provider has no obligation to provide maintenance or support. You may contact us through the Contact Form.
Warranty. If the App fails to conform to an applicable warranty, you may notify the App Store Provider, which may refund the purchase price of the App, if any. To the maximum extent permitted by law, the App Store Provider has no other warranty obligation with respect to the App. Any other claim, loss, liability, damage, cost or expense attributable to a failure to conform to a warranty is our responsibility, as stated in this Agreement.
Product claims. We, and not the App Store Provider, are responsible for addressing any claims by you or a third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to meet a legal or regulatory requirement, and consumer protection, privacy or similar claims.
Intellectual property claims. If a third party claims that the App or your use of it infringes that party's intellectual property rights, we, and not the App Store Provider, are solely responsible for the investigation, defense, settlement and discharge of that claim.
Legal compliance. You represent and warrant that you are not located in a country that is subject to a United States government embargo or designated as a terrorist-supporting country, and that you are not on any United States government list of prohibited or restricted parties.
Third-party terms. You shall comply with any applicable third-party terms when using the App, including your wireless carrier's terms and the App Store Provider's terms of service.
Third-party beneficiary. You and we acknowledge that the App Store Provider and its subsidiaries are third-party beneficiaries of this Agreement as it applies to the App, and that, upon your acceptance of this Agreement, the App Store Provider will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary of it.
Questions, complaints or claims about the App may be directed to us through the Contact Form. Developer identification: LIKE A KING INC., New York.
Google Play. If you obtain the App from Google Play, you acknowledge that Google is not responsible for the App, that Google Play terms apply to your download and use, and that Google has no obligation to furnish maintenance or support.
15Governing law
This Agreement, and any dispute arising out of or relating to it or the Service, is governed by the laws of the State of New York, without regard to its conflict-of-laws rules, and, where applicable, by the Federal Arbitration Act and other federal law.
Subject to Section 16, for any dispute that is not subject to arbitration, you and we submit to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York, and waive any objection based on inconvenient forum.
Nothing in this Section deprives you of the protection of mandatory consumer protection laws of the state in which you reside, or of any rights under federal remittance transfer law, which apply as the law provides.
16Dispute resolution and arbitration
AGREEMENT TO ARBITRATE. YOU AND TBILI AGREE THAT ANY DISPUTE, CLAIM OR CONTROVERSY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE SERVICE OR ANY TRANSFER-RELATED MATTER BETWEEN YOU AND TBILI, WHETHER IN CONTRACT, TORT, STATUTE OR OTHERWISE, AND INCLUDING THE VALIDITY, SCOPE AND ENFORCEABILITY OF THIS SECTION 16 (EACH, A DISPUTE), SHALL BE RESOLVED EXCLUSIVELY BY FINAL AND BINDING ARBITRATION, EXCEPT AS STATED IN SECTION 16.4.
Informal resolution first. Before starting an arbitration, the party raising a Dispute shall give the other a written notice describing the Dispute and the relief sought. You shall send your notice through the Contact Form, and we will send ours to the contact details on your Account. The parties shall try in good faith to resolve the Dispute within 30 days after the notice is sent.
Rules and administrator. If the Dispute is not resolved, either party may begin arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect when the arbitration is begun, as modified by this Section. Those rules are available at adr.org. The arbitration will be conducted by a single arbitrator, and may be conducted by written submissions, by telephone or videoconference, or, at your election, in person in the county where you live or at another place the parties agree.
Exceptions. This Section does not require arbitration of: (a) an individual claim that qualifies for small claims court, which either party may bring in a small claims court of competent jurisdiction in your county of residence or in New York County, so long as it stays in that court and is individual; (b) a claim for public injunctive relief, which, if it cannot lawfully be waived, shall be decided by a court (and any other claim in the same action shall be stayed until the court rules); or (c) a claim by either party to enjoin infringement or misappropriation of its intellectual property in court.
Fees. !We will pay all AAA filing, administrative and arbitrator fees beyond the amount you would have paid to file a lawsuit in court, unless the arbitrator finds that you brought the claim for an improper purpose. Each party bears its own attorneys' fees and costs, except that the arbitrator shall award fees and costs where the law or the Agreement allows.
Authority of the arbitrator. The arbitrator shall apply New York law and the terms of this Agreement, may award on an individual basis any relief that a court could award, and shall issue a reasoned written decision. The decision is final and binding, and judgment on it may be entered in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
CLASS ACTION AND JURY WAIVER. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND TBILI EACH WAIVE ANY RIGHT TO A JURY TRIAL, AND EACH WAIVES ANY RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, CONSOLIDATED ACTION OR REPRESENTATIVE ACTION. DISPUTES SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS, AND THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Severability of the waiver. If the class action waiver in Section 16.7 is found unenforceable as to a claim or a request for relief, then that claim or request (and only that claim or request) shall be severed and decided in court, and shall be stayed until the arbitrable claims are finished. All other provisions of this Section 16 remain in force.
OPT-OUT. YOU MAY OPT OUT OF THIS ARBITRATION AGREEMENT BY SENDING AN OPT-OUT NOTICE THROUGH THE CONTACT FORM WITHIN 30 DAYS AFTER YOU FIRST ACCEPT THIS AGREEMENT. SELECT THE TOPIC "ARBITRATION OPT-OUT", GIVE YOUR NAME AND THE EMAIL ADDRESS ON YOUR ACCOUNT, AND STATE THAT YOU OPT OUT OF ARBITRATION. AN OPT-OUT IS EFFECTIVE ONLY FOR YOU. IF YOU OPT OUT, SECTION 15.2 APPLIES TO YOUR DISPUTES, AND THE REST OF THIS AGREEMENT IS UNAFFECTED. OPTING OUT WILL NOT AFFECT ANY OTHER PART OF YOUR RELATIONSHIP WITH US.
Time limit. To the extent the law allows, a claim by you must be brought within one year after it arose, or it is barred.
Survival and changes. This Section survives termination. If we change this Section 16 in a way that materially affects you, the change will not apply to a Dispute that you gave notice of before the change.
17State-specific notices
17.1 Remittance transfers: your federal rights
Transfers of money from the United States to a person abroad for personal, family or household purposes are "remittance transfers" under Subpart B of Regulation E (12 C.F.R. Part 1005, Subpart B), which implements Section 919 of the Electronic Fund Transfer Act (15 U.S.C. 1693o-1). The Payment Partner, as the remittance transfer provider, is responsible for the duties that those laws impose on a provider. Tbili does not act as the provider.
Pre-payment disclosure. Before you pay, the Payment Partner will give you a disclosure that states the amount to be transferred, the exchange rate, fees and taxes, the total amount to be received by the Recipient (not counting certain fees charged by the Recipient's bank, which may be estimated), and the date of availability.
Receipt. After you pay, the Payment Partner will give you a receipt that includes the information in the pre-payment disclosure, the date of availability, the name of the Recipient and the Payment Partner's contact information, and information about your rights to cancel and to dispute errors.
Right to cancel. You can cancel a Transfer for a full refund, including fees, if you request cancellation in the manner stated in the receipt within 30 minutes after you paid, provided that the funds have not yet been picked up by or deposited into the account of the Recipient. The Payment Partner will refund the amount you paid, including fees, within three business days after your request.
Error resolution. If you believe an error occurred, such as an incorrect amount, funds not available by the stated date, or a failure to complete the Transfer, you must notify the Payment Partner within 180 days after the stated date of availability, using the contact information on your receipt. The Payment Partner must investigate and report the results to you within 90 days, and if an error occurred, must, at your choice and as the law requires, refund the amount not properly transmitted or resend it, at no additional cost, including fees. You may also contact the Consumer Financial Protection Bureau at consumerfinance.gov or the agency identified on your receipt.
Tbili will forward to the Payment Partner any cancellation or error notice that we receive, but the legal deadlines run from the notice you give to the Payment Partner using the details on your receipt, so please notify the Payment Partner directly.
These rights are in addition to any other rights that the law gives you. They do not apply to Contractor payments that a Business User makes for business purposes, which are governed by the Partner Terms and applicable law.

General provisions
G.1 Entire agreement. This Agreement is the entire agreement between you and us about the Service and replaces all prior understandings about it. It does not replace the Partner Terms, which are a separate agreement between you and the Payment Partner or the Card Issuer.
G.2 Order of precedence. If there is a conflict, the following order applies: (a) the Partner Terms, as to the movement of funds, identity verification and Transfers; (b) any in-product terms specific to a feature, as to that feature; (c) these Terms of Service; (d) the Privacy Notice, as to personal information; and (e) the other pages that form part of the Agreement.
G.3 Severability. If a provision of this Agreement is held invalid or unenforceable, it shall be enforced to the maximum extent permitted and the remaining provisions remain in full force, subject to Section 16.8.
G.4 No waiver. Our failure to enforce a right or provision is not a waiver of it. A waiver is effective only if in writing and signed or sent by us.
G.5 Assignment. You shall not assign or transfer this Agreement or any right under it without our written consent, and any attempt to do so is void. We may assign this Agreement, including in connection with a merger, acquisition or sale of assets, on notice to you.
G.6 Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disaster, war, terrorism, civil unrest, governmental action, sanctions, labor disputes, failure or delay of banks, payment networks or utilities, internet or telecommunications failure, or cyber attack.
G.7 Notices. We may give you notice by email to the address on your Account, by a notice in the Service, or by posting on the Service. You shall give us notice through the Contact Form. Notice is effective when sent, except that notice by posting is effective when posted.
G.8 Electronic communications and E-SIGN consent. You consent to receive agreements, notices, disclosures and other communications from us electronically, including under the Electronic Signatures in Global and National Commerce Act (E-SIGN). Electronic communications satisfy any legal requirement that they be in writing. You may withdraw consent by contacting us through the Contact Form, but if you do we may close your Account, because the Service operates electronically. You need a device with internet access and a current browser or the App, and a valid email address, to receive electronic communications. You may ask for a paper copy of a notice through the Contact Form. Disclosures required by the Payment Partner are governed by the Partner Terms.
G.9 Survival. Provisions that by their nature should continue after the Agreement ends, including those listed in Section 13.5, survive.
G.10 Relationship. You and we are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, fiduciary or employment relationship. Tbili is not your agent in any Transfer.
G.11 No third-party rights. Except for the App Store Providers (Section 14) and the persons indemnified in Section 12, nobody other than you and us has rights under this Agreement.
